Terms of Service

1. Agreement to Terms

By accessing or using ReadFort ("the Service"), operated by ReadFort, Inc. ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms.

2. Description of Service

ReadFort is a cloud-based document management and compliance platform designed for property management companies and age-restricted (55+) communities. The Service provides document storage, organization, document versioning, audit logging, and compliance reporting tools.

3. Accounts and Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring that your account information remains current and accurate

4. Subscriptions and Billing

ReadFort offers subscription-based plans (Scroll, Codex, and Vault) with monthly and annual billing options. By subscribing, you agree to the following:

  • Free trial: New accounts receive a 14-day free trial with no credit card required. At the end of the trial, you must select a paid plan to continue using the Service.
  • Recurring billing: Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.
  • Price changes: We may adjust pricing with at least 30 days' written notice. Price changes take effect at the start of your next billing cycle.
  • Refunds: Annual subscriptions may be refunded within the first 30 days. Monthly subscriptions are non-refundable but may be canceled at any time.
  • AppSumo purchases: Lifetime licenses purchased through AppSumo are covered by a 60-day money-back guarantee from the date of purchase. Refund requests within this period should be directed through AppSumo. After 60 days, all AppSumo purchases are final and non-refundable.

5. Acceptable Use

You agree not to use the Service to:

  • Upload, store, or transmit any content that is unlawful, harmful, or infringes on the rights of others
  • Attempt to gain unauthorized access to other accounts, systems, or networks
  • Interfere with or disrupt the integrity or performance of the Service
  • Use the Service for any purpose other than legitimate document management and compliance activities
  • Reverse engineer, decompile, or disassemble any aspect of the Service

6. Your Content

You retain ownership of all documents, files, and data you upload to the Service ("Your Content"). By using the Service, you grant us a limited license to store, process, and display Your Content solely as necessary to provide the Service to you.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. We do not review, verify, or endorse any content uploaded by users.

7. Data Storage and Limits

Each subscription tier includes a specified storage allocation. If you exceed your storage limit, you will need to upgrade your plan or remove files to continue uploading. We reserve the right to enforce storage limits and may restrict uploads if your account exceeds its allocation.

8. Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access and are not liable for any downtime, whether planned (maintenance) or unplanned (outages). We will make reasonable efforts to provide advance notice of scheduled maintenance.

9. Termination

Either party may terminate this agreement at any time. Upon termination:

  • You will have 30 days to export Your Content from the Service
  • After the 30-day export period, we may permanently delete Your Content
  • We may terminate or suspend your account immediately if you violate these terms
  • No refund will be issued for the remaining period of a monthly subscription upon termination for cause

10. Limitation of Liability

To the maximum extent permitted by law, ReadFort shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of or inability to use the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. ReadFort does not provide legal, compliance, or regulatory advice. While our tools assist with document organization and compliance tracking, you are responsible for ensuring your organization meets all applicable legal and regulatory requirements.

12. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the state or federal courts located in Delaware.
